Authorization and Approval of Acquisitions – Article 6, Order #10
In the event a Foreign Party acquires a Chinese Company and creates a Foreign Invested Enterprise (FIE), it must receive the authorization of the examination and approval administration and carry out the process for amending registration documents or setup registration with the registration administration authority. In the event that the company being acquired is a listed Chinese Company, it must follow the requirements of the securities regulatory authority of the State Council regarding the regulation overseeing strategic investment by Foreign Parties in listed companies.
